Scope and Purpose of Agreement
This Material Transfer Agreement (“MTA”) governs the legal transfer, handling, and permitted utilization of proprietary physical goods, chemical samples, biological materials, or technical components (“Materials”) provided by Botellitapepe to recipient entities, institutions, or individuals (“Recipient”). By accepting or opening shipments containing Materials from Botellitapepe, the Recipient agrees to be bound by the terms contained herein.
Permitted Use and Restrictions
Materials furnished by Botellitapepe are provided strictly for approved internal evaluation, testing, quality assurance, or non-commercial research purposes as specified in writing prior to transfer. The Recipient agrees that Materials will not be used in commercial product manufacturing, offered for resale, or transferred to unapproved third parties without explicit prior written authorization from Botellitapepe.
Intellectual Property Ownership
All right, title, and interest in and to the Materials—including associated patent rights, trademarks, trade secrets, formulas, technical data, and intellectual property—remain exclusively with Botellitapepe. Nothing in this agreement shall be construed as granting the Recipient any license or ownership rights to Botellitapepe’s intellectual property. The Recipient explicitly agrees not to reverse engineer, decompile, analyze the chemical composition of, or attempt to synthesize or replicate the Materials without formal authorization.
Confidentiality and Experimental Handling
Any technical details, safety documentation, or proprietary specifications accompanying the Materials must be treated as confidential information. The Recipient agrees to exercise reasonable caution and implement standard laboratory safety precautions when storing, handling, or testing Materials.
Disclaimer of Warranties and Limitation of Liability
Materials provided by Botellitapepe are provided on an “AS IS” basis, without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights. Botellitapepe makes no representations regarding the stability, efficacy, or safety of transferred samples outside recommended conditions. The Recipient assumes all risk and liability arising from the handling, storage, usage, and disposal of Materials.
